DSCR and Vacation Rental Financing

Buying a Rental Property Through an LLC: Mortgage Approval and Personal Guarantees

Align the borrowing entity, owners, guarantees and closing documents before financing a rental purchase.

An LLC can hold title to a rental while the owners still personally guarantee its mortgage. Those two facts fit together. The entity name on the deed does not tell you the full liability story.

I would settle the ownership and borrowing plan before the purchase contract, deposit and loan application start naming different parties. Correcting that mismatch late can require revised documents, another review and a delayed closing.

The financing question is specific: will this program lend to this entity, with these owners and these guarantees, for the actual intended use?

Four roles that need to line up

The property owner holds title. The borrower owes the loan under its documents. An authorized signer acts for the entity. A guarantor undertakes whatever personal obligation the guarantee creates.

One person may fill several roles. A manager authorized to sign for an LLC is not automatically released from a separate personal guarantee. Conversely, being a passive member does not by itself tell you whether that person must qualify or sign under the selected program.

Florida's LLC statute distinguishes a company obligation from personal liability based solely on membership. A separately signed guarantee requires its own analysis. I would not describe LLC borrowing as complete personal protection, and I would not assume every guarantee has the same scope.

Choose an actual entity compatible program

Ordinary Fannie Mae borrower eligibility follows a natural person framework with stated exceptions. A standard agency investment mortgage and a business purpose loan to an eligible LLC are not interchangeable ownership structures.

Some DSCR investors permit entity borrowing but impose conditions on ownership, entity layers, credit qualification and guarantees. AD Mortgage's published guide, for example, reviews entity authority and the individuals behind the borrower. Its rules should not be applied to another investor by analogy.

Before choosing a lender, prepare the entity chart: the title holding entity, every ownership layer, individual owners, ownership percentages and proposed signers. Include the actual rental use. An LLC formed to own an investment property does not make undisclosed personal occupancy acceptable.

The approval package should explain who can bind the company

A useful package can include formation records, current status evidence, the operating agreement and amendments, ownership information, tax identification and borrowing authorization requested by the lender and title company. The exact list depends on the entity and program.

An operating agreement can restrict borrowing even when a manager appears on public records. A member resolution cannot cure every underlying authority problem. The title and lending teams need consistent evidence that the proposed mortgage can be authorized and signed.

Track the funds as carefully as the signatures. If a member contributes personal cash to the LLC, preserve the account trail and the documented nature of the contribution. An unexplained last minute entity deposit can create a source problem even when the money is legitimate.

Do not change the ownership percentages during underwriting without review. That can change who must qualify, which documents are accurate and whether the proposed structure remains eligible.

A 40% ownership interest does not necessarily cap a guarantee at 40%

Consider a hypothetical $600,000 purchase financed with a $420,000 loan. Two members own the LLC 60% and 40%. They contribute $108,000 and $72,000 respectively toward the down payment, with other costs funded separately.

Suppose the proposed guarantee says each guarantor is jointly and severally responsible for the guaranteed debt. Under that assumed language, the 40% member should not budget exposure as merely $168,000 because that is 40% of the original loan. The actual obligation may extend to the entire guaranteed balance and other amounts covered by the contract.

Now suppose the members sign a separate agreement allocating losses 60/40. That agreement can govern rights between them, but it does not automatically reduce what the lender can enforce under its separate guarantee.

This is an illustration of why the language matters, not a description of every DSCR guarantee. A limited guarantee, full recourse guarantee and a guarantee tied to specified conduct can have very different consequences. Have the actual documents reviewed before signing, especially where partners expect different exposure.

Closing personally and transferring later is a separate decision

Do not assume that taking an agency mortgage personally and deeding the property to an LLC afterward is an automatic workaround. Review the existing note, security instrument, servicer requirements, title and insurance implications before any transfer.

Permission to transfer title is different from release of the original borrower. Neither follows simply because the same person controls the company. A later refinance may also require a different vesting structure and new qualification.

I would also confirm how the deed, mortgage, insurance named insured and rental or management contracts will identify the owner at closing. Inconsistent names can create problems beyond the loan application.

What I would resolve before committing to this structure

I want the title holder, program permitted ownership, qualifying individuals, signing authority, guarantee scope and source of cash settled together. The investor should also understand the ongoing cost of maintaining the entity and the professional advice needed for tax and legal decisions.

An LLC may be a sensible part of an investment plan. Financing should support that plan with documents the owners understand. It should not rest on an assumption that a company name removes the people behind the debt.
